Disclosure regarding the proposed merger with Ahli Bank SAOG

Further to the disclosures issued on April 7 and 10, 2025 regarding the proposed merger between Sohar International Bank SAOG (“Sohar International”) and Ahli Bank SAOG (“Ahli Bank”), and given that the two banks have not yet obtained the necessary legislative approvals to proceed with the merger process, the Board of Directors of Sohar International decided on June 22, 2025 to postpone negotiations with the Board of Directors of Ahli Bank regarding the proposed merger for the time being .

The Board of Directors of Sohar International will inform shareholders and the investment community of any material developments in a timely manner, in accordance with applicable legislative frameworks and regulations .
