Independent Director Tracy Conerly Sold A Bunch Of Shares In Trustmark

Anyone interested in Trustmark Corporation (NASDAQ:TRMK) should probably be aware that the Independent Director, Tracy Conerly, recently divested US$298k worth of shares in the company, at an average price of US$37.22 each. That sale was 35% of their holding, so it does make us raise an eyebrow.
Trustmark Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Chairman, Gerard Host, sold US$1.6m worth of shares at a price of US$39.74 per share. That means that an insider was selling shares at around the current price of US$38.18. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Insider Ownership Of Trustmark
Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Trustmark insiders own about US$40m worth of shares. That equates to 1.8% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
What Might The Insider Transactions At Trustmark Tell Us?
Insiders haven't bought Trustmark stock in the last three months, but there was some selling. And even if we look at the last year, we didn't see any purchases. On the plus side, Trustmark makes money, and is growing profits. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
