From what we can see, insiders were net sellers in Innventure, Inc.'s (NASDAQ:INV ) during the past 12 months. That is, insiders sold the stock in greater numbers than they purchased it.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

Innventure Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chief Strategy Officer, John Scott, sold US$2.3m worth of shares at a price of US$5.13 per share. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$5.23. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 19% of John Scott's holding. John Scott was the only individual insider to sell shares in the last twelve months.

In the last twelve months insiders purchased 58.79k shares for US$244k. On the other hand they divested 452.67k shares, for US$2.3m. Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Innventure insiders own 18% of the company, worth about US$73m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Innventure Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Innventure shares in the last quarter. We don't take much encouragement from the transactions by Innventure insiders. But we do like the fact that insiders own a fair chunk of the company. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. For example, Innventure has 5 warning signs (and 3 which make us uncomfortable) we think you should know about.
