Euroapi sells UK subsidiary to Particle Dynamics

Active pharmaceutical ingredient (API) producer Euroapi SA (Paris) said it has sold its UK subsidiary, Euroapi UK Ltd, to Particle Dynamics Holdings Inc. (St Louis, Missouri). Euroapi UK operates Euroapi’s Haverhill site in the UK, as per Chemweek.The transaction was completed on June 30, the same day the two companies signed a share purchase agreement, according to a Euroapi statement. All operations and associated commitments related to Euroapi UK will be transferred to Particle Dynamics, the company said.Financial details were not disclosed, but Euroapi said “the transaction was completed under financial terms reflecting the fair value of the shares sold.” Haverhill’s total net sales were around €35 million, with nearly 80% attributed to Sanofi, Euroapi added.“The divestment of Haverhill is a key step toward optimizing our industrial footprint and advancing our FOCUS-27 transformation plan,” said David Seignolle, CEO of Euroapi.The sale of the Haverhill site is expected to have a limited impact on Euroapi’s consolidated financial statements for the first half of 2025, the company said.Particle Dynamics will invest in the Haverhill site, to add new commercial-scale spray drying capabilities, as the company is expanding its CDMO service offering to pharmaceutical companies, according to Nicolas Fortin, CEO of Particle Dynamics.Euroapi’s FOCUS-27 plan is a four-year transformation plan that was announced in 2024 following the company’s strategic review.
