Competition Authority approves Glass’ acquisition of Saudi Arabian Glass Company

Riyadh - Mubasher: The General Authority for Competition issued a decision to conditionally approve the completion of the economic concentration process between the National Glass Industries Company (Zujaj) and the Saudi Arabian Glass Company .
The General Authority for Competition explained, in a statement, that the approval includes imposing conditions and obligations on the parties to the deal, with the aim of ensuring normal competition and keeping the market open for establishments wishing to enter or expand their business in it.
The Authority confirmed that, in accordance with the powers granted to it, it will monitor compliance with the requirements after completing the deal and test the extent of the parties’ compliance with the established requirements for a period of 5 years from its date.
The obligations include that the parties undertake not to raise the average annual selling prices by more than 10% of the average change in the Consumer Price Index in the Kingdom of Saudi Arabia or in the cost scale of establishments on an annual basis, whichever is greater. The parties also have the right, under certain circumstances, to exceed those limits after obtaining the approval of the General Authority for Competition, while providing a comprehensive justification supported by evidence regarding the justifications for that increase.
On November 6, Glass announced the extension of the non-binding memorandum of understanding with Saudi Arabian Glass Company Limited to study the opportunity of concluding an acquisition or merger deal for a period of 6 months ending on May 8, 2025, pending the approval of the relevant authorities.
