Some Bandwidth Inc. (NASDAQ:BAND) shareholders may be a little concerned to see that the General Counsel & Secretary, Richard Asbill, recently sold a substantial US$883k worth of stock at a price of US$44.15 per share. That sale reduced their total holding by 42% which is hardly insignificant, but far from the worst we've seen.

The Last 12 Months Of Insider Transactions At Bandwidth

In fact, the recent sale by Richard Asbill was the biggest sale of Bandwidth shares made by an insider individual in the last twelve months, according to our records. That means that an insider was selling shares at slightly below the current price (US$48.65). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 42% of Richard Asbill's holding.

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 6.4% of Bandwidth shares, worth about US$96m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Do The Bandwidth Insider Transactions Indicate?

Insiders haven't bought Bandwidth stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying! So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
