Some Cars.com Inc. (NYSE:CARS) shareholders may be a little concerned to see that the Chief Legal Officer & Corporate Secretary, Angelique Strong Marks, recently sold a substantial US$692k worth of stock at a price of US$11.94 per share. That diminished their holding by a very significant 75%, which arguably implies a strong desire to reallocate capital.

The Chief Financial Officer, Sonia Jain, made the biggest insider sale in the last 12 months. That single transaction was for US$826k worth of shares at a price of US$9.56 each. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 2.5% of Cars.com shares, worth about US$16m.
