Anyone interested in FB Financial Corporation (NYSE:FBK) should probably be aware that the Chief Accounting Officer, Lynn Joyce, recently divested US$413k worth of shares in the company, at an average price of US$59.03 each. That sale was 15% of their holding, so it does make us raise an eyebrow.
FB Financial Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the insider, James McPherson, for US$511k worth of shares, at about US$60.06 per share. That means that an insider was selling shares at around the current price of US$59.96. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Does FB Financial Boast High Insider Ownership?
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. FB Financial insiders own about US$69m worth of shares. That equates to 2.3% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
So What Does This Data Suggest About FB Financial Insiders?
An insider hasn't bought FB Financial stock in the last three months, but there was some selling. Zooming out, the longer term picture doesn't give us much comfort. But since FB Financial is profitable and growing, we're not too worried by this. Insiders own shares, but we're still pretty cautious, given the history of sales. We're in no rush to buy! Of course, the future is what matters most.
