We'd be surprised if Critical Metals Corp. (NASDAQ:CRML) shareholders haven't noticed that the Independent Director, Mykhailo Zhernov, recently sold US$403k worth of stock at US$8.06 per share. The eyebrow raising move amounted to a reduction of 14% in their holding.

Critical Metals Insider Transactions Over The Last Year

Notably, that recent sale by Mykhailo Zhernov is the biggest insider sale of Critical Metals shares that we've seen in the last year. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of US$6.67. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership Of Critical Metals

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Critical Metals insiders own about US$10m worth of shares. That equates to 1.2% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Critical Metals Insider Transactions Indicate?

An insider sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
