Some Hovnanian Enterprises, Inc. (NYSE:HOV) shareholders may be a little concerned to see that the CEO & Chairman of the Board, Ara Hovnanian, recently sold a substantial US$1.6m worth of stock at a price of US$126 per share. However, it's crucial to note that they remain very much invested in the stock and that sale only reduced their holding by 6.3%.

Hovnanian Enterprises Insider Transactions Over The Last Year

Notably, that recent sale by Ara Hovnanian is the biggest insider sale of Hovnanian Enterprises shares that we've seen in the last year. So it's clear an insider wanted to take some cash off the table, even below the current price of US$148. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 6.3% of Ara Hovnanian's stake.

Does Hovnanian Enterprises Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Hovnanian Enterprises insiders own 26% of the company, currently worth about US$230m based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

What Might The Insider Transactions At Hovnanian Enterprises Tell Us?

An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
