We'd be surprised if Regions Financial Corporation (NYSE:RF) shareholders haven't noticed that an insider, Brian Willman, recently sold US$196k worth of stock at US$27.91 per share. That sale was 19% of their holding, so it does make us raise an eyebrow.

Regions Financial Insider Transactions Over The Last Year

The Senior EVP & Head of Wealth Management Group, William Ritter, made the biggest insider sale in the last 12 months. That single transaction was for US$1.0m worth of shares at a price of US$28.78 each. So what is clear is that an insider saw fit to sell at around the current price of US$27.63. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Over the last year we saw more insider selling of Regions Financial shares, than buying. The chart below shows insider transactions (by companies and individuals) over the last year. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Regions Financial insiders own 0.3% of the company, worth about US$82m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At Regions Financial Tell Us?

An insider sold stock recently, but they haven't been buying. And our longer term analysis of insider transactions didn't bring confidence, either. But since Regions Financial is profitable and growing, we're not too worried by this. Insiders own shares, but we're still pretty cautious, given the history of sales. We're in no rush to buy! If you are like me, you may want to think about whether this company will grow or shrink. Luckily, you can check this free report showing analyst forecasts for its future.
