Vanda Pharmaceuticals Inc.'s (NASDAQ:VNDA) value has fallen 11% in the last week, but insiders who sold US$2.8m worth of stock over the last year have had less success. Insiders would probably have been better off holding on to their shares given that the average selling price of US$8.20 is still lower than the current share price.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

Vanda Pharmaceuticals Insider Transactions Over The Last Year

The Founder, Mihael Polymeropoulos, made the biggest insider sale in the last 12 months. That single transaction was for US$1.3m worth of shares at a price of US$8.17 each. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The silver lining is that this sell-down took place above the latest price (US$5.85). So it may not shed much light on insider confidence at current levels. Notably Mihael Polymeropoulos was also the biggest buyer, having purchased US$42k worth of shares.

Over the last year we saw more insider selling of Vanda Pharmaceuticals shares, than buying. The chart below shows insider transactions (by companies and individuals) over the last year. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Does Vanda Pharmaceuticals Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Insiders own 4.2% of Vanda Pharmaceuticals shares, worth about US$15m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Do The Vanda Pharmaceuticals Insider Transactions Indicate?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Still, the insider transactions at Vanda Pharmaceuticals in the last 12 months are not very heartening. But it's good to see that insiders own shares in the company. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
