Over the past year, insiders sold US$67k worth of Sypris Solutions, Inc. (NASDAQ:SYPR) stock at an average price of US$1.97 per share allowing them to get the most out of their money. The company’s market cap plunged by US$9.0m after price dropped by 11% last week but insiders were able to limit their loss to an extent.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Sypris Solutions

In the last twelve months, the biggest single sale by an insider was when the Vice President of Administration, Curtis Petrie, sold US$67k worth of shares at a price of US$1.97 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$3.29. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 40% of Curtis Petrie's holding. The only individual insider seller over the last year was Curtis Petrie.

Insider Ownership Of Sypris Solutions

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Sypris Solutions insiders own about US$23m worth of shares. That equates to 31% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
