Why Intuitive Surgical’s governance changes matter for shareholders

Intuitive Surgical (ISRG) recently updated its bylaws to align with U.S. universal proxy rules and tighten procedures around shareholder nominations, proposals, and special meetings. These governance adjustments now sit alongside interest in the da Vinci 5 rollout.

Against this backdrop, Intuitive Surgical’s recent share price has been volatile, with the stock up 7.21% over the past week but down 32.59% on a year to date share price return. The 3 year total shareholder return of 24.41% contrasts with a 1 year total shareholder return decline of 19.42%. Recent attention has centred on the da Vinci 5 rollout and continuous software updates, which along with governance tightening appear to be shaping how investors weigh growth potential against execution and regulatory risks at the current share price of US$378.81.

Most Popular Narrative: 39.9% Undervalued

Intuitive Surgical’s most followed narrative pegs fair value at $630.48, which sits well above the recent share price of $378.81 and frames the current debate.

I have followed ISRG since 2003 when it was brought to the investing club I had just joined. I tried to analyze ISRG with the BetterInvesting SSG methodology that I had been introduced to and I could not get it in the buy zone. Wiser heads in the club prevailed and we started a position at around $48 a share and continued to add to the position. In 2005 ISRG was trading at over $200 a share and I was getting nervous. I convinced the club to place a trailing stop on ISRG. The price continued to increase and reached $393 a share. Then ISRG stock price started to drop it got as low as $200 a share. Our trailing stop worked like a charm we were sold out of the club position at just above $360 a share. I tried to convince the club to reinvest in ISRG at $200 a share they decided not to, but I did. I describe it as riding the lightning. I have bought and sold ISRG at least twice since then and watched the share price increase to over $1000 a share twice before doing a 3 for 1 stock split. First in 2017 and then again in 2021. Did I mention no debt?

Want to see what underpins a fair value almost two thirds above today’s price? The narrative leans on steady revenue expansion, strong profit margins and a rich future earnings multiple. Curious how those pieces fit together into that $630.48 figure? The full story lays out the cash flow path behind this valuation call in detail.

Result: Fair Value of $630.48 (UNDERVALUED)

However, Intuitive Surgical’s recent share price decline, together with any slowdown in revenue or net income growth, could challenge a valuation narrative built on premium future P/E assumptions.

Another view on Intuitive Surgical’s valuation

The community narrative argues that Intuitive Surgical looks undervalued at $378.81 versus a $630.48 fair value. The P/E ratio tells a different story. At 42.6x, it sits well above the US Medical Equipment industry on 26.1x and peers on 28x, and above a fair ratio of 34.8x. That gap suggests investors are paying a clear premium for this growth story. The question is whether you think the current fundamentals and forecasts justify staying that far above where the ratio could move.
