While it’s been a great week for Travelzoo (NASDAQ:TZOO) shareholders after stock gained 13%, they should consider it with a grain of salt. Even though stock prices were relatively low, insiders elected to sell US$3.6m worth of stock in the last year, which could indicate some expected downturn.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Travelzoo

Over the last year, we can see that the biggest insider purchase was by Global Chief Executive Officer Holger Bartel for US$1.1m worth of shares, at about US$5.49 per share. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$12.11. While it does suggest insiders consider the stock undervalued at lower prices, this transaction doesn't tell us much about what they think of current prices.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Travelzoo insiders own 38% of the company, worth about US$46m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The Travelzoo Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Travelzoo shares in the last quarter. Still, the insider transactions at Travelzoo in the last 12 months are not very heartening. But it's good to see that insiders own shares in the company. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Travelzoo.
