Soulpower Acquisition Corporation has entered into an agreement with SWB LLC and related entities for a proposed combination that will result in both Soulpower Acquisition Corporation and SWB LLC becoming wholly owned subsidiaries of a new publicly traded entity, SWB Holdings. As part of the transaction, shareholders of Soulpower Acquisition Corporation will receive shares in SWB Holdings, and holders of SWB LLC membership interests will also receive shares in the new public company. In connection with the deal, certain investors have agreed to contribute real estate, mineral rights, and related assets to SWB LLC or its subsidiaries in exchange for non-voting membership units, and asset management and consulting agreements have been established for the oversight of these assets.
