Vistance bull case meets a tougher Aurora reality
Bulls have argued that Vistance Networks is a de risked cash return story, with Aurora Networks offering solid growth and rising adjusted EBITDA. The latest quarter partly supports that view. The company is debt free and is sitting on roughly US$1.9b of cash after the Ruckus sale. It has also approved a US$5 per share special distribution that is now firmly scheduled. Those are clear milestones for the capital return thesis. The market reaction, with the stock up 8.3% after results, shows investors welcomed that clarity. The Aurora piece is more mixed. Aurora revenue was broadly flat year on year at about US$319m, and backlog remains sizeable at US$470m with an extra US$200m of July orders. However, the cut to full year Aurora EBITDA guidance to US$200m to US$225m and the 43% year on year fall in segment EBITDA both challenge the idea of near term profit expansion.
Aurora margin squeeze pressures the Vistance bear case
The main bear narrative has focused on weak Aurora execution, a fragile EBITDA outlook and the risk that the remaining stub equity deserves a low valuation. The Q2 numbers offer bears some support. Aurora adjusted EBITDA dropped 43% year on year to US$46m on roughly flat sales, and group adjusted EBITDA from continuing operations fell to US$36m. Order rates for Aurora declined 55% year on year in the quarter and backlog is 15% lower, which raises questions about demand timing. Management also cut full year Aurora EBITDA guidance by US$25m and warned results could land at or below the low end if memory costs worsen. At the same time, Vistance Networks now carries no debt and expects to hold US$700m to US$750m of cash after paying the US$5 distribution. It also has a US$100m buyback authorisation. That residual financial strength limits some of the more extreme downside scenarios.
