  Abu Dhabi, United Arab Emirates – Robo.ai Inc. ( NASDAQ: AIIO ), based in the United Arab Emirates, announced today that it has entered into an agreement to acquire 100% of the equity stake of QC Capital Limited (also known as Quantum Core or QC Capital ). Under the proposed transaction, the total consideration will be US$60 million, payable in the form of Class B common stock in Robo.ai , subject to a maturity and release schedule of up to eight years. The transaction is expected to close within 30 business days, subject to customary closing conditions and other applicable requirements .

The proposed acquisition represents a significant strategic step in Robo.ai 's growth trajectory and its efforts to develop a global platform for connecting AI-powered robot networks. QC Capital is a leading AI-powered technology holding platform with a broad range of capabilities across various sectors, including technology development, project building, and industrial investment. Through the proposed integration with QC Capital , and building on Robo.ai's successful experience in acquiring Neurovia , a company specializing in intelligent visual data processing and compression technologies, Robo.ai anticipates strengthening its capabilities in identifying and attracting promising technology companies, allocating capital, sponsoring ventures, cross-border mergers and acquisitions, post-investment management, and global commercialization .

Under the terms of the acquisition agreement, the consideration structure for the transaction is designed to align with future performance targets. The shares issued as consideration will be released in phases and will be linked to multi-year revenue growth targets. This structure aims to align the release of the proposed consideration with the future performance of QC Capital and the long-term interests of Robo.ai shareholders.

QC Capital ’s operating model is based on artificial intelligence (AI) technology and operational enablement capabilities, with a particular focus on AI agents, specialized AI applications, and industrial technology enablers, serving a wide range of sectors, including manufacturing, transportation, AI-powered robotics, and smart manufacturing. In its operations, QC Capital seeks to aggregate AI data, operational data from its portfolio companies, post-investment operational data, and data derived from market feedback. Performance targets

Based on the performance-based release mechanism stipulated in the acquisition agreement, the shares to be issued to QC Capital will be released over the next eight years, subject to the achievement of specific revenue growth targets. Among these targets, but not limited to, is achieving cumulative revenue of approximately US$2.4 billion during 2026 and 2027, which will be a key condition for the phased release of the shares issued in consideration for the transaction.

Conversely, subject to the successful completion of the transaction and business integration, and the achievement of revenue targets in accordance with applicable accounting standards, Robo.ai anticipates that QC Capital will become an additional platform to enhance the company's medium- and long-term revenue growth, support integration across various industry sectors, and promote the global marketing of its AI ecosystem.
